Extraordinary General Meeting February 2024 – Approval of change in Auditor 

On 9 November 2023, Little Green Pharma Ltd (LGP) announced it was seeking LGP shareholder approval to demerge Reset Mind Sciences Limited (Reset or the Company) from the LGP Group and gave notice of a shareholder’s meeting to consider the demerger and associated in-specie distribution to be held on 4pm (AWST) on Wednesday 21 February 2024 (Meeting).

Reset also proposed to undertake a capital raise to raise up to $2 million (before costs) by the issue of up to 10,000,000 ordinary shares in Reset at $0.20 per share (Offers).

Reset has now withdrawn the Offers as set out in the Supplementary Prospectus announced by LGP to the ASX on 19 February 2024. The withdrawal follows the AIM stock exchange’s decision that as Psychedelic Assisted Psychotherapy (PAP) is not currently permitted in the United Kingdom, meaning the prospective UK investors previously advised to the ASX are currently unable to invest.  

Given the withdrawal of the Offers, Reset will remain as a fully-owned subsidiary of Little Green Pharma. Accordingly, the Company has withdrawn Resolution 1 relating to the approval of the proposed capital reduction and in-specie distribution of shares from Meeting, meaning the sole remaining resolution at the Meeting in Resolution 2 relating to the approval to change the Company’s auditor to BDO Audit (WA) Pty Ltd.

Virtual participation in the meeting will enable shareholders to view the meeting live and ask questions and cast votes in real time on a poll during the meeting. Shareholders are advised to register their attendance via this webinar link prior to the meeting.

Voting by Proxy

To lodge a proxy visit the www.investorvote.com.au website (control number 183500). Shareholders should have their HIN or SRN number (found on your Proxy, Holding Statement or other broker documentation) and postcode ready. The Company will not be dispatching physical copies of the Notice of Meeting unless shareholders have made a valid election to receive Company documents in hardcopy. Please note any proxy voting instructions received after 4:00pm (AWST) on Monday, 19 February 2024 (Proxy Cut-Off Time) will not be valid for the meeting and as such, the Company encourages all shareholders to submit their proxies as early as possible.

Participation and voting at the meeting

All votes at the meeting will be taken by poll rather than show of hands. If you are proposing to attend the meeting virtually and intend to vote on a poll at the meeting, you must notify the Company Secretary at cosec@lgp.global by the Proxy Cut-Off Time. Following the Proxy Cut-Off Time, the Company will send you a personalised poll form (Poll Form). The Poll Form must be completed and returned to the Company after the poll has been called and prior to the close of polling. For shareholders attending the meeting in person, poll forms will be made available at the meeting. During the meeting, the Chair will notify attending shareholders how and when they are able to complete and return the Poll Form.
